1 Introduction and Definitions

  1. These Terms constitute a binding legal agreement between the User and the Operator, and apply to any use of the Service — including browsing, viewing, searching, registering, publishing a listing, sending an inquiry and purchasing a plan.
  2. Alongside these Terms, the following documents also apply to use of the Service and form an integral part of it: the Privacy Policy, the Cookie Policy, the Terms of Sale and Cancellation Policy, the Content Policy, the Notice-and-Takedown Procedure, and, for agencies — the Terms for Agencies and Brokers. In the event of any conflict between these Terms and a dedicated document, the dedicated document shall prevail on the matter it addresses.
  3. In these Terms, the following terms shall have the meaning set out beside them:
"the Service" / "the Platform" — the website walz.co.il, its applications and services, and the interfaces and content accompanying it.
"the Operator" / "Walz" — Max Bern, licensed sole trader no. 326854007, and Natali Tamam Binyamin, licensed sole trader no. 205561228, jointly and severally, who operate the Service.
"User" — any person or entity making use of the Service, whether registered or not.
"Advertiser" — a User who publishes a property listing — a property owner, a real-estate agency, a broker or a developer.
"Broker" — a real-estate broker or brokerage agency holding a valid licence under the Real Estate Brokers Law, 5756-1996.
"Business Customer" — an Advertiser acting within the scope of a business (an agency, a broker, a developer, an owner of commercial property); "Private Customer" — anyone who is not a Business Customer.
"User Content" — any text, image, floor plan, video or information uploaded or submitted to the Service by a User.
"Listing" — the publication of a property on the Platform by an Advertiser.
"Inquiry" / "Lead" — a request for contact sent by an interested party regarding a property.
"Plan" — a paid advertising/subscription track granting the right to publish listings within a scope and for a period as determined.
"Rendering" — an image or visualisation produced by computerised means or artificial intelligence for illustrative purposes.

2 Nature of the Service — Platform Only

  1. Walz is an online advertising platform for commercial real estate: a digital listings board connecting Advertisers with parties interested in renting or buying, and forwarding inquiries from interested parties to the relevant Advertiser.
  2. Walz is not a real-estate broker as that term is defined in the Real Estate Brokers Law, 5756-1996, does not provide brokerage services and is not engaged in brokerage.
  3. Walz is not a party to any transaction or to any arrangement between Users, does not conduct negotiations on behalf of any party, does not represent any of them, and does not charge a brokerage fee or any consideration contingent on the existence or success of a transaction. The only consideration to which the Operator is entitled is in respect of advertising and subscription services.
  4. Walz does not check, verify or vouch for the accuracy of listing content, the condition of properties, their availability, their price, the lawfulness of the publication, or the identity of Advertisers, and does not give any opinion, recommendation or advice. Any reliance on information in the Service is at the User's sole responsibility.
  5. All due diligence, negotiation and dealings take place directly between the parties and at their full responsibility. It is recommended to consult qualified professionals (an attorney, a real-estate appraiser, a licensed broker) before entering into any arrangement.

3 Eligibility, Account Opening and Verification

  1. Use of the Service is intended for persons aged 18 and over and for business entities with the legal capacity to enter into a binding agreement. Use on behalf of a corporate name constitutes a representation that the User is authorised to bind that corporation.
  2. Sign-in and registration are carried out using a mobile phone number verified by a one-time code (OTP) sent via WhatsApp. The User bears sole responsibility for keeping their device and account secure and for access to them, and for any action carried out through them.
  3. The User undertakes to provide true, accurate and up-to-date details, and to update them when required. Providing false details, impersonation, or use of another person's details are prohibited and constitute a fundamental breach of these Terms.
  4. An account is personal and non-transferable. An account may not be opened on behalf of another person without their authorisation, and multiple accounts may not be held for improper purposes.
  5. The Operator may refuse to open an account, make its opening conditional, or suspend it, at its reasonable discretion and subject to law, including on security grounds or on suspicion of a breach.

5 Publishing Listings

  1. Publishing listings is conditional on purchasing a valid advertising plan suited to the account type, and subject to any law and to these Terms.
  2. The Advertiser is solely responsible for the content of the listing, its accuracy, its lawfulness and its right to publish it, and represents so upon publication as detailed in Section 10 and in the Content Policy.
  3. Every listing undergoes an administrator review before publication. This review is intended for basic screening only, does not constitute confirmation of the accuracy of the content, and does not derogate from the Advertiser's responsibility.
  4. The Operator may, at its reasonable discretion, refuse to publish, make technical adjustments to, suspend, flag or remove a listing — among other things due to a breach of these Terms, a request under the Notice-and-Takedown Procedure, or a legal requirement — even without prior notice in urgent cases.
  5. The Operator may limit the number of listings, their publication period and the available advertising areas, and may change the supported categories and fields from time to time.
  6. Publishing a listing does not confer on the Advertiser any acquired right to appear in a particular position, ranking or exposure.

6 Advertising Plans and Payments

  1. The composition of the plans, prices, minimum periods and renewal terms are those presented on the purchase page at the time the order is placed, and these are binding.
  2. Prices are stated in New Israeli Shekels and do not include VAT unless expressly stated otherwise; VAT will be added at the statutory rate.
  3. Exposure of inquirers' details (leads) is included in the advertising plan at no additional charge.
  4. Where a plan is defined as auto-renewing, this will be displayed explicitly before confirmation, and billing will continue until cancelled as set out in Section 7 and in the Terms of Sale.
  5. The Operator may update prices and the composition of plans; an update will not apply retroactively to a period already paid for.
  6. Non-payment, an unwarranted chargeback, or a collection failure may lead to suspension of a listing or of an account.

7 Cancellation of a Transaction and Refunds

  1. The right of cancellation, the refund policy and cancellation fees are fully governed by the Terms of Sale and Cancellation Policy, in accordance with the Consumer Protection Law, 5741-1981.
  2. A consumer has a right to cancel a distance-selling transaction within 14 days, and a right to cancel a continuing transaction at any time. One-click online cancellation is available from the account area; after cancellation, the package and the listing remain active until the end of the paid period and do not renew.
  3. The protective provisions of the Consumer Protection Law apply to a "consumer" as defined therein; some of them do not apply to a business purchase.
  4. For a person with a disability, a senior citizen or a new immigrant, an extended cancellation right applies, as detailed in the Terms of Sale and Cancellation Policy.

8 Agencies and Brokers

  1. An agency or broker using the Service represents that they hold a valid real-estate brokerage licence, and that their activity is conducted in accordance with the Brokers Law and its regulations, including the ethics regulations.
  2. The full terms applying to agency/broker accounts are set out in the Terms for Agencies and Brokers, which form an integral part of these Terms for them.
  3. The Operator may verify licences against the public Registrar of Real Estate Brokers, display a verification status, and make publication or receipt of inquiries conditional on valid verification.

9 Rules of Use and Prohibitions

  1. During use, it is prohibited to publish false, misleading, offensive or unlawful information, and to publish listings for properties the User has no authorisation to advertise.
  2. It is prohibited to automatically collect information (scraping), to copy, reproduce or extract the property catalogue, its structures, or any material part of the Service, and to make commercial re-use of the Service's content; nothing herein derogates from reasonable, permitted access to public pages via components the Operator expressly makes available for that purpose, such as robots.txt and llms.txt files and agent interfaces (WebMCP).
  3. It is prohibited to overload the system, disrupt it, attempt to bypass security or access mechanisms, introduce malicious code, or impair the availability of the Service to other users.
  4. It is prohibited to use other users' details for any purpose other than a legitimate contact regarding a property, including sending advertising material without lawful consent.
  5. It is prohibited to infringe intellectual property rights, privacy or reputation, to impersonate another, and to make any use contrary to law or to these Terms.
  6. A breach of this section constitutes a fundamental breach and entitles the Operator to the full remedies available under these Terms and under law, including removal, suspension, account closure and a claim for damages and indemnification.

10 User Content and Licence

  1. Responsibility for content uploaded by a User rests with that User alone. By uploading, the User represents that they own the full rights in the content and that the listing details are true and not misleading.
  2. The User grants Walz a non-exclusive, worldwide, royalty-free, transferable and sub-licensable licence to store, display, reproduce, technically adapt, translate and promote the content within the Service and for purposes of its promotion — all as detailed in the Content Policy.
  3. The User undertakes not to upload content that infringes a third party's rights (copyright, trademarks, privacy, reputation) or prohibited content as detailed in the Content Policy.
  4. The Operator may remove or suspend content in accordance with the Content Policy and the Notice-and-Takedown Procedure.

11 Renderings, Artificial Intelligence and System Content

  1. Some system content, including renderings and images of projects and buildings marked "AI Rendering", is generated using artificial intelligence and is intended for illustration only; differences from the actual condition may exist, and it should not be relied upon as a representation regarding a property.
  2. Articles and guides on the site may be written with the assistance of artificial intelligence and may contain inaccuracies. They should not be regarded as professional, legal, financial or other advice.
  3. The Operator is not responsible for any decision or action taken in reliance on system content, a rendering or an article.
  4. The Walz AI chat is available to signed-in users subject to a monthly credit quota set by the account's package and role, as shown in the account area and on the pricing page; the quota renews each month and does not carry over, and additional credits may be purchased separately. Exhausting the quota may temporarily limit the availability of AI-based features, with no additional charge without the user's consent. Separately purchased credits do not expire when the monthly quota renews and remain in the account after the package ends; the monthly quota is used first, then purchased credits. A credit used for a completed action is not refunded.

12 Intellectual Property

  1. All intellectual property rights in the Service — including its design, code, user interfaces, trademarks, the name "Walz", the logo, databases and content (other than User Content) — are the exclusive property of the Operator or of those acting on its behalf, and are protected by law.
  2. The Service or any part of it may not be copied, reproduced, distributed, published, sold, licensed, used to create derivative works, or put to any commercial use, without the Operator's prior written consent.
  3. Use of the Service does not confer on the User any right whatsoever in the Operator's intellectual property, other than a limited, personal and non-transferable right of use in accordance with these Terms.

13 Inquiries, Leads and Communications

  1. By sending an inquiry regarding a property, the sender agrees that their details (name, phone number and content of the inquiry) will be passed on to the relevant Advertiser so that the Advertiser may respond regarding that property, as detailed in the Privacy Policy.
  2. The Operator will send operational messages necessary for the operation of the Service (a verification code, action confirmations, status updates on inquiries). These messages do not constitute marketing communications.
  3. Marketing communications will be sent only with the User's consent and in accordance with Section 30A of the Communications Law (Telecommunications and Broadcasting), 5742-1982; they may be unsubscribed from at any time at no cost.
  4. Nothing herein shall impose on the Operator any responsibility for the use an Advertiser makes of inquirers' details; that responsibility rests with the Advertiser alone.

14 Links and Third-Party Services

  1. The Service may include links, maps, tools or services of third parties. The Operator does not control this content and is not responsible for it, for its availability, or for its policies.
  2. Use of third-party services is subject to their terms and privacy policy, and is at the User's sole responsibility.
  3. The inclusion of a link or service does not constitute a recommendation, endorsement or warranty by the Operator.

15 Notice and Takedown

  1. Anyone who believes that content on the Service infringes their rights (copyright, reputation, privacy, trademark) or that a listing is fraudulent is invited to contact us in accordance with the Notice-and-Takedown Procedure.
  2. The Operator will review requests and will remove or suspend infringing content in accordance with the Procedure and with law; removal actions are recorded.
  3. Operating the Procedure does not constitute an admission of liability and does not derogate from the parties' rights to apply to the courts.

16 Limitation of Liability and Indemnification

  1. The Service is provided "AS IS" and "AS AVAILABLE". The Operator does not undertake continuous availability, correctness, accuracy of listings, fitness for a particular purpose, or the absence of faults, viruses or disruptions.
  2. Subject to mandatory legal provisions, the Operator, its directors, employees and those acting on its behalf shall bear no liability — whether in contract, tort or on any other legal ground — for any indirect, consequential, special or punitive damage, including loss of profit, opportunity, goodwill or information, arising from the use of the Service or the inability to use it.
  3. The Operator's liability, to the extent it arises notwithstanding the foregoing, shall in any event not exceed the amount actually paid by the User to the Operator for the Service in the three months preceding the event giving rise to the claim.
  4. The Operator is not responsible for the content of listings, Advertisers' representations, the outcome of negotiations or arrangements between Users, the conduct of third parties, or damage originating from them.
  5. The User undertakes to indemnify and compensate the Operator and those acting on its behalf, immediately upon demand, for any damage, loss, expense or payment (including attorneys' fees and legal costs) incurred by them as a result of the User's breach of these Terms or of law, content the User uploaded, or use the User made of the Service.
  6. Nothing in this section shall derogate from rights that cannot be contracted out of under the Consumer Protection Law or any other mandatory law.

17 Termination of Use and Suspension

  1. The User may stop using the Service and request deletion of their account at any time, as detailed in the Privacy Policy.
  2. The Operator may suspend or close an account, remove listings and block access — including due to a breach of these Terms or of law, suspicion of fraud, non-payment, or security grounds — at its reasonable discretion and subject to law.
  3. Removal or suspension due to a breach does not entitle the User to a refund for a period already used, all without derogating from any other remedy.
  4. Provisions that by their nature are intended to survive termination of the relationship (intellectual property, limitation of liability, indemnification, governing law and jurisdiction) shall remain in effect.

18 Changes to These Terms and to the Service

  1. The Operator may update these Terms and the accompanying documents from time to time. The updated version will be published on this page with an update date, and will bind from the date of its publication.
  2. For a material change — including a change that broadens obligations or narrows material rights — notice will be given, to the extent possible, on the site or by direct notice, and continued use may be made conditional on renewed confirmation or on the lapse of a reasonable notice period.
  3. The Operator may change, add or discontinue features and components of the Service, in whole or in part, at its discretion, and does not undertake the continued availability of any feature.

19 General Provisions

  1. Assignment: The User may not assign their rights or obligations under these Terms without the Operator's prior written consent. The Operator may assign its rights and obligations, including within a merger, sale or transfer of business, provided that the User's material rights are not impaired.
  2. Severability: Should a provision be found void, unenforceable or contrary to law, the remaining provisions of these Terms shall remain in force, and the provision shall be construed or adapted to the maximum extent permitted to reflect the parties' intent.
  3. Waiver: The Operator's refraining from exercising a right shall not constitute a waiver of it, and shall not serve as a precedent for any other case.
  4. Force Majeure: The Operator shall bear no liability for a delay or failure resulting from circumstances beyond its reasonable control, including infrastructure faults, cyberattacks, strikes, war, natural events or orders of an authority.
  5. Entire Agreement: These Terms, together with their appendices and accompanying documents, constitute the entire agreement between the parties regarding the Service, and supersede any prior representation or understanding.
  6. Notices: Notices from the Operator will be delivered on the site, by email or by a message within the Service; notices to the Operator shall be sent to [email protected].
  7. Governing Language: These Terms were originally drafted in Hebrew. In the event of any conflict between the Hebrew text and a translation, the Hebrew text shall prevail; the translation is provided for convenience only.

20 Governing Law and Jurisdiction

  1. These Terms and the use of the Service shall be governed solely by the laws of the State of Israel, without regard to its conflict-of-laws rules.
  2. Exclusive jurisdiction over any dispute relating to these Terms or to the Service is vested in the competent courts of the Tel Aviv–Jaffa district.
